FLICKYAPP Terms and Conditions

1. Acceptance of Terms

By creating an account or accessing any part of FLICKYAPP, you agree to comply with these Terms and our Privacy Policy. We may modify these Terms from time to time, and your continued use of the App signifies your acceptance of the revised Terms.

2. FLICKYAPP Overview and Features

FLICKYAPP offers various features to users, customized based on location and user interests. Key features include:

2.1 "For You" Reels

• Users can post short reels to the "For You" section and add music either from FLICKYAPP’s Spotify Music Library or by using music for which they own the rights.
• You are responsible for ensuring that you have the appropriate rights or licenses for any music you upload. FLICKYAPP LLC is not responsible for any copyright infringements or legal liabilities that arise from unauthorized use of music.

2.2 Flicky Live

• Flicky Live allows users to broadcast live video streams. All live streams must comply with FLICKYAPP’s community guidelines, and content violating these guidelines may be removed without notice.
• Users can engage with live audiences and receive virtual gifts from viewers.

2.3 Flicky TV

• Flicky TV is a random video chat feature that connects users with others worldwide.
• Users must adhere to community guidelines during all interactions on Flicky TV. Inappropriate behavior will result in account suspension or termination.

2.4 Messaging

• FLICKYAPP offers a messaging feature where users can communicate directly with each other.
• Messages must not contain harmful, offensive, or illegal content. Misuse of the messaging feature may lead to account restrictions or termination.

2.5 Virtual Gifts

• Users can purchase virtual gifts using virtual coins. Recipients of virtual gifts can redeem them through payout methods such as PayPal or Google Pay or or other supported services.

3. User Eligibility

You must be at least 18 years old to use FLICKYAPP. By using the App, you represent that you meet this age requirement. If you do not meet this requirement, please discontinue use of FLICKYAPP.

4. Account Registration and Security

To access certain features of the App, you may be required to create an account. You agree to :

• Provide accurate, current, and complete information.
• Maintain the security of your account and be responsible for any activities that occur under your account.
• Notify us immediately if you suspect unauthorized access to your account.
• FLICKYAPP reserves the right to suspend or terminate your account at any time if you violate these Terms.

5. Content and User Conduct

5.1 User-Generated Content

FLICKYAPP allows you to post, upload, and share content, including reels, live streams, and messages. You retain ownership of your content, but by posting on FLICKYAPP, you grant us a worldwide, royalty-free, non-exclusive license to use, display, and distribute your content as part of the App’s services.

5.2 Music Usage

Users can upload music they own or use music available through our Spotify Music library. You are responsible for ensuring that you have the rights to any music you upload. FLICKYAPP is not liable for any copyright infringement resulting from the misuse of music.

5.3 Prohibited Conduct

When using FLICKYAPP, you agree not to :

• Post or share content that is illegal, harmful, harassing, defamatory, obscene, or hateful.
• Use the App for fraudulent activities or to promote illegal content.
• Engage in activities that disrupt or interfere with the operation of FLICKYAPP, such as hacking or distributing viruses.

6. Virtual Coins and Virtual Gifts

6.1 Purchasing Virtual Coins

Users can purchase virtual coins within the App using available payment methods. Virtual coins can be used to purchase virtual gifts that can be sent to other users. Virtual coins do not have monetary value and cannot be redeemed for cash.

6.2 Sending and Receiving Virtual Gifts

• Virtual gifts can be sent during live streams or video chats. Once sent, virtual gifts are not reversible.
• Users who receive virtual gifts can redeem them for real money through approved payout methods, such as PayPal or Google Pay.

6.3 Redeeming Virtual Gifts

• Recipients of virtual gifts can redeem them for cash via payout methods such as PayPal or Google Pay
• FLICKYAPP LLC will deduct a processing fee for each payout, and additional fees may apply depending on the payout provider (e.g., PayPal, Google Pay).
• Virtual gifts are redeemable in accordance with FLICKYAPP’s guidelines, and any fraudulent activities related to virtual gifts will result in immediate account suspension.

6.4 Refunds

Purchases of virtual coins and other in-app products are final and non-refundable. You acknowledge that these transactions are non-reversible.

7. Payment Methods and Payouts

All payments, including virtual coin purchases and virtual gift redemptions, are processed through third-party services such as PayPal or Google Pay. By using these services, you agree to their respective terms of service. FLICKYAPP is not responsible for any issues related to third-party payment processing.

8. Location-Based Customization

FLICKYAPP customizes certain features and content based on your location. By using the App, you consent to the collection and processing of location data for this purpose. You can manage location services through your device’s settings.

9. Termination of Use

We reserve the right to suspend or terminate your access to the App at any time for any reason, including but not limited to violations of these Terms. Upon termination, your rights to use the App will immediately cease.

10. Limitation of Liability

To the maximum extent permitted by law, FLICKYAPP LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to your use of FLICKYAPP, including but not limited to loss of profits, data, or goodwill. In no event shall FLICKYAPP LLC, its affiliates, or its employees be liable for any direct, indirect, incidental, or consequential damages arising from your use of FLICKYAPP. This limitation applies even if FLICKYAPP LLC has been advised of the possibility of such damages.

11. Indemnification

You agree to indemnify, defend, and hold harmless FLICKYAPP LLC and its affiliates, directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including legal fees, arising out of your use of the App, your violation of these Terms, or your infringement of any intellectual property or other rights of any person or entity.

12. Intellectual Property

FLICKYAPP LLC owns all rights, title, and interest in the App, including all intellectual property rights. You are granted a limited, non-exclusive, revocable license to use the App for personal, non-commercial purposes, subject to these Terms.

13. Third-Party Services

FLICKYAPP may contain links to third-party websites or services (e.g., PayPal, Google Pay, Spotify). FLICKYAPP LLC does not endorse or control these third-party services, and you acknowledge that FLICKYAPP is not responsible for any actions, content, or policies of these services

14. Force Majeure

FLICKYAPP LLC shall not be liable for failure to perform or delay in performance due to events beyond its reasonable control, including but not limited to acts of God, war, strikes, labor disputes, government actions, internet failures, and technical issues

15. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to the use of FLICKYAPP, including but not limited to claims related to these Terms, you agree to resolve the dispute through binding arbitration, rather than in court, unless prohibited by applicable law. Arbitration will be conducted in the State of Texas, United States

16. Governing Law and Jurisdiction

This Agreement, including any disputes arising out of or related to the use of the FLICKYAPP mobile application ("App") and its features, shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law principles. For users accessing the App from jurisdictions outside of the United States, the laws of the relevant jurisdiction where the user resides may apply to the extent required by local law. Any legal action or proceeding arising under or related to this Agreement shall be brought exclusively in the courts located in Texas or the applicable jurisdiction where the user is located, and you consent to the jurisdiction of such courts.

17. Changes to These Terms

We may update these Terms from time to time. If we make significant changes, we will notify you via email or through the App. Your continued use of FLICKYAPP after the changes are posted will constitute your acceptance of the revised Terms.

18. Notification and Communications

You agree to receive communications from us regarding any changes, updates, or important notices related to these Terms or your use of the App. Such communications may be sent via email or in-app notifications. It is your responsibility to maintain accurate and up-to-date contact information in your account.
